Terms and Conditions
When you engage in business with Advanced Renewable Power Ltd trading as AR Power Ltd, the following terms and conditions come into effect.
Terms and Conditions
The following document sets out the terms and conditions of service for Advanced Renewable Power Ltd trading as AR Power Ltd (“AR Power”). We have set out below the principal terms which come into effect once a customer uses the AR Power switching service.
If you have any further questions about these terms and conditions, or anything else, please get in touch with our Customer Services team who will be more than happy to help you further. Our Customer Services team can be contacted on 0191 481 3316.
These terms and conditions govern the use of the services AR Power provides to customers. It is important that you read these terms and conditions carefully before accepting these terms and conditions. By using the AR Power service(s), you signify that you have read, understood, and agree to be bound by these terms and conditions. If you disagree with these terms, do not use our service.
Price Comparison / Switching Service
AR Power provides a price comparison and switching service to UK businesses. To be eligible to use this service you must be:
- A business resident in the UK;
- Eighteen years or older (if a sole trader);
- Able to meet the credit scoring requirements of any supplier (where applicable).
We reserve the right to refuse to provide our services to any customer at our discretion.
If the customer agrees to use our services, AR Power will use reasonable endeavours to identify, negotiate and secure competitive energy prices. Energy prices are obtained from a panel of energy suppliers using supplier pricing systems and market pricing provided by suppliers and industry platforms.
The customer agrees to provide AR Power with accurate information to allow quotations to be obtained, including estimated or actual energy usage, contract end dates and any other known factors that may influence prices and quotations.
The provision of a quotation by a supplier via AR Power does not constitute an offer to the customer and all offers will be subject to the supplier’s own terms and conditions.
If the customer accepts a quotation and a contract is executed between the customer and the supplier, the contract shall be legally binding and the customer will not be permitted to revoke such acceptance unless permitted within the supplier’s own contractual terms.
The supplier shall be entitled at any time to refuse to accept a customer’s offer at their discretion.
If the customer and supplier enter into a contract, AR Power will provide a switching or renewal service which may include organising the contract between the customer and the supplier for the purchase and supply of energy services.
AR Power will not be responsible for delays or failures caused by the customer, AR Power, the proposed supplier or any existing supplier in relation to effecting either a transfer of supply or renewal of supply.
AR Power makes no guarantees regarding the quality of supplier services or that the prices obtained are the cheapest available in the market.
Energy prices fluctuate daily and whilst we aim to secure competitive rates, we cannot guarantee that any quotation is the lowest available.
The customer remains responsible for validating the accuracy of any quotations presented. It is also the customer’s responsibility to ensure contracts have been correctly submitted to the supplier and are progressing to live status. This will usually be confirmed through communications issued by either the incoming or existing supplier.
The customer acknowledges that they are entering into a contract with the energy supplier for the provision of energy services and not with AR Power. The customer agrees that AR Power shall not be liable for any dealings, contracts, transactions or obligations between the customer and the supplier.
The customer agrees that AR Power operates as an independent energy brokerage and not as the customer’s appointed agent or representative.
AR Power is not responsible for the provision of supplier services.
Charges
AR Power is remunerated directly by suppliers and receives commission for securing and finalising contracts between the customer and the supplier. This commission is commonly incorporated into the unit rate agreed within the energy contract.
For example, if a supplier price for electricity is 16p per kWh and a 0.9p uplift is applied, the contracted rate offered would be 16.9p per kWh. Commission is typically calculated based on the uplift multiplied by annual energy consumption and contract term.
Commission levels vary depending on:
- contract size;
- contract duration;
- supplier;
- credit profile;
- market conditions.
The commission payment may be displayed within supplier contracts and may refer to AR Power as:
- Broker;
- Third Party;
- Third Party Intermediary (TPI);
- Energy Consultant;
- or by company name.
Commission may also be referred to as:
- Commission;
- Fee;
- Cost;
- Broker Fee;
- TPI Fee.
Further information regarding expected commission can be obtained by contacting our customer services team.
Duplicate Contract Fees
Where a customer enters into a contract with a supplier using the AR Power service, the customer acknowledges that the contract is legally binding.
If the customer subsequently enters into another contract with an alternative supplier and the contract facilitated by AR Power fails to proceed to live status, AR Power may receive no payment for its services despite incurring operational costs and time.
In these circumstances, AR Power reserves the right to charge the customer a one-off failed contract fee of £750 per meter, or the value of commission that would have been earned on the contract introduction per meter, whichever is higher.
This is in addition to any fees or damages pursued directly by the supplier.
A “Win Back” occurs where a customer agrees to move to a new supplier but subsequently renews with their incumbent supplier. In these circumstances, the original supplier contract may fail and the failed contract fee provisions may still apply.
Change of Tenancy Notifications and Fees
Where a customer enters into an energy contract through AR Power but vacates premises during the contract term, the contract may terminate due to a Change of Tenancy (“COT”).
As supplier commission is adjusted when a COT occurs, customers must notify AR Power at least 28 days before vacating premises.
Failure to notify AR Power may result in a failed contract fee of:
- £750 per meter; or
- the value of lost commission per meter,
whichever is higher.
AR Power may reduce the fee proportionately to reflect the completed percentage of the contract term.
Failure to Go Live / Early Termination / Insolvency
If a contract fails to go live due to:
- failure by the customer to provide requested information or documentation;
- supplier rejection;
- failure to set up payment arrangements;
- inaccurate information;
- or other customer-related failures,
AR Power reserves the right to charge a one-off administration and failed contract fee of £750.
Required information may include:
- signed Letters of Authority;
- current supplier details;
- MPAN/MPR details;
- contract dates;
- termination notices;
- banking details;
- direct debit mandates.
If a contract terminates early due to change of ownership, insolvency or business closure, AR Power reserves the right to recover:
- £750; or
- the value of lost commission,
whichever is higher.
Failure of a Supplier
If a supplier fails and the customer enters into a Supplier of Last Resort (“SOLR”) arrangement, supplier commission may not be paid to AR Power.
In these circumstances, AR Power reserves the right to charge a fee of £750 where supplier commission has not substantially been paid.
At our discretion, we may waive or reduce this fee where the customer instructs AR Power to arrange replacement supply agreements.
Auto Renewals
Where the customer has provided delegated authority allowing AR Power to renew contracts on the customer’s behalf, any applicable Auto Renewal terms and conditions shall also apply.
